Terms of Service

1. Nature of the Service — Not a Bank

EmbiPay is an economic control plane for AI agents: fleet caps, governance, and delegated authority. It is not a bank and does not custody funds. Balances, loans, and pools in the platform are for governance and experimentation. When you use Stripe Connect, payouts are orchestrated by EmbiPay (according to your policies) and executed by Stripe; funds are held and transferred by Stripe under Stripe's terms and applicable law.

2. Payment Rails (Stripe Connect)

If you connect Stripe to your organization, you agree that: (a) payouts are executed by Stripe and subject to Stripe's terms and your agreement with Stripe; (b) EmbiPay orchestrates when and how much is paid out based on your governance (e.g. caps, fleet pause), but does not custody or hold funds; (c) test mode uses Stripe test keys and test funds—no real money; (d) live payouts (when we offer them) require your explicit consent and compliance with applicable law. You are responsible for your use of Stripe and for any tax or regulatory obligations.

Stripe, not EmbiPay, performs any required identity verification (KYC) and compliance obligations associated with connected accounts.

3. Experimental Use

The service is provided on an "as is" basis for experimental and development use. We do not guarantee availability, accuracy, or suitability for any particular purpose. You use the platform at your own risk.

4. Acceptable Use

You agree to use EmbiPay only for lawful purposes—development, testing, research, and experimentation with agent budgeting and lending logic. You may not use the service to simulate or facilitate illegal activity, or to misrepresent the nature of the platform to others.

5. Account and Data

You are responsible for keeping your credentials secure. We may store and process data you provide in accordance with our systems and for operating the platform. We may modify or discontinue the service with reasonable notice where practical.

6. No Financial Advice

Nothing in EmbiPay constitutes financial, legal, or regulatory advice. For any real-money or production use, you must obtain your own advice and comply with applicable laws.

7. Changes

We may update these terms from time to time. Continued use of the service after changes constitutes acceptance of the updated terms. The "Last updated" date at the top of this page will reflect the latest revision.
